LAWS3301 Company Law [UG]

Outcomes Students are able to (1) demonstrate an understanding of established concepts and principles in company law; and (2) identify and apply the relevant law (both case law and statutory law) to issues that may arise in relation to companies with specific emphasis on the topics mentioned below.
Content This unit is available at Level 2 or 3. Topics include (1) the concept and consequences of incorporation; (2) the constitution and organs of a company; (3) management and administration; (4) raising of and maintaining capital; (5) company charges; (6) rights and duties of management, directors, shareholders and the public; (7) winding up and liquidation; (8) regulation of takeovers; and (9) the duties and liabilities of auditors.
Assessment This comprises a take-home assignment (30 per cent), tutorial performance (20 per cent) and a final examination (50 per cent).

Supplementary assessment is not available in this unit except in the case of a bachelor's pass degree student who has obtained a mark of 45 to 49 and is currently enrolled in this unit, and it is the only remaining unit that the student must pass in order to complete their course.

Prerequisites: LAWS1104 Introduction to Law or equivalent
Incompatibility: Students enrolled in the Bachelor of Laws are not permitted to enrol in this unit.
